      • THE CONSTITUTIONOF FIGHTERS OF GOOD HOPE CHILDREN HOME UGANDA

        Location: Kigavu Village, Katikamu Sub County, Luwero District.
        Legal Form: Company Limited by Guarantee (CLG)

        1. NAME

        The organization shall be calledFighters of Good Hope Children Home, registered as a Company Limited
        by Guarantee (CLG) under the laws of Uganda.

        2. REGISTERED OFFICE

        The registered office shall besituated in Kigavu Village, Katikamu Sub County, Luweero District, or such other place as may be determined by the Board of Directors.

        3. VISION, MISSION, AND VALUES

        Vision: To create a nurturing andempowering environment for vulnerable and orphaned children in Uganda.


        Mission: To provide care, shelter, education, and advocacy for children, while promoting community empowerment and child welfare.


        Core Values: Transparency, Accountability, Integrity, Compassion, Community Participation

        4. OBJECTIVES

        1. To provide care, shelter,education, and holistic support to vulnerable and orphaned children.
        2. To promote and safeguard child rights, welfare, and protection.
        3. To empower communities through advocacy, training, and sustainable development initiatives.
        4. To mobilize and manage resources locally and internationally for the benefit of children and families.
        5. To collaborate with governmental bodies, NGOs, and other partners to advance child welfare and social justice.

        5. MEMBERSHIP

        Membership is open to individuals orinstitutions supportive of the organization’s objectives.
        Admission is by Board resolution.
        Members must contributions as determined by the Board.
        Membership may beterminated by resignation, death, misconduct, or failure to meet obligations.
        Members have the right to vote at AGMs and participate in organizational activities.

        6. GOVERNANCE / BOARD OF DIRECTORS

        The organization shall be governedby a Board of Directors consisting of:
        Nsubuga Falcon – Founder & Chairperson
        Ssempiila Arnold – Deputy Chairperson
        Nakimbugwe Rose – Treasurer

        Additional directors may be appointed as necessary.

        7. POWERS AND DUTIES OF THE BOARD

        1. Oversee the management of theorganization’s affairs, assets, and resources.
        2. Approve policies, strategic plans, and annual budgets.
        3. Establish committees for Finance, Programs, Governance, and Audit.
        4.Hire, supervise, and terminate staff as needed.
        5. Ensure compliance with Ugandan laws, NGO Bureau regulations, and donor requirements.
        6. Review and approve financial statements andproject reports.

        8. TENURE

        Directors serve for three-yearterms, renewable once.

        9. MEETINGS

        The Board shall meet at leastquarterly.
        Quorum: 50% + 1 of Board members.
        Decisions are made by simple majority; the Chairperson has a casting vote in case of a tie.

        10. OFFICERS AND DUTIES

        Chairperson – Provides leadership,represents the organization, oversees governance

        Deputy Chairperson – Acts in the absence of Chairperson, assists with oversight.
        Treasurer – Oversees finances, ensures proper accounting, manages bank accounts, prepares audits.

        11. COMMITTEES

        The Board may establish committeessuch as Finance and Audit Committee, Program Committee, Governance and Compliance Committee.
        Committees report to the Board quarterly or as directed.

        12. STAFF AND VOLUNTEERS

        Staff and volunteers shall serve under written contracts or agreements.

        Staff report to the Board or designated committees and adhere to organizational policies.
        Staff conduct shall align with the organization’s objectives, values, and legal requirements.

        13. CONFLICT OF INTEREST

        Board members, staff, and volunteersmust declare any personal or financial interest in matters before the organization.
        Those with a conflict shall abstain from decision-making or voting on the matter.

        14. AGM / EGM PROCEDURES

        Annual General Meeting (AGM) – Held once every year. Members review activities, finances, budgets, and strategic plans.
        Extraordinary General Meeting (EGM) – Can be called by the Board or at least one-third of members. Minimum notice: 14 days.

        Voting – Each member has one vote. Resolutions are passed by simple majority, except for amendments or
        dissolution (two-thirds majority).

        15. FINANCIAL MANAGEMENT

        All funds shall be deposited in bankaccounts approved by the Board.
        Treasurer oversees financial management.
        Accounts shall be audited annually by a qualified external auditor.
        Funds shall only be used for organizational objectives. No member shall derive personal profit.

        16. ASSET MANAGEMENT

        All property, movable or immovable,belongs to the organization.
        Assets shall be used solely for the objectives of the organization.

        17. LEGAL COMPLIANCE

        The organization shall comply withCompanies Act, NGO Bureau Act and regulations, Trustees Incorporation Act (if applicable), and other applicable Ugandan laws.

        18. DISPUTE RESOLUTION

        Internal disputes shall first bereferred to the Board. If unresolved, disputes shall be referred to arbitration under Ugandan law.

        19. LIABILITY

        Members’ liability is limited tothe amount they guarantee, not exceeding UGX 100,000 each in the event of winding up.
        Directors and officers are not personally liable if acting in good faith within the scope of their duties.

        20. AMENDMENTS

        The constitution may be amended by two-thirds majority vote at a General Meeting, subject to URSB approval.

        21. DISSOLUTION

        Upon dissolution, assets shall betransferred to another NGO or institution with similar objectives, as determined by the Board and approved by the Registrar.

        22. DECLARATION

        We, the undersigned, being the founding members, hereby adopt this constitution:
